Ownership of St Ann's Surgery changed without knowledge of NHS

Although the former owner signalled its intention to sell its business last year, it did not wait for permission from the NHS, but went ahead and sold to HCRG in December 2023, notifying North Central London Integrated Care Board of the sale three months later.

North Central London ICB has written to patients explaining what happened: 

On Friday 15 March 2024 NCL ICB was informed by HCRG Care Group that ownership of Operose Health Ltd had transferred from MH Services International (UK) Ltd to T20 Osprey Midco Ltd on 28 December 2023. This resulted in a ‘Change of Control’ of AT Medics Ltd.

NCL ICB has been undertaking due diligence on the proposed change, scrutinising the information provided and seeking additional information where this was not provided or was not clear. The disclosure of the completion of the Change of Control was made during the due diligence exercise.

Patients will be wondering what this means in terms of the future ownership of St Ann's Road Surgery.

Under the terms of the APMS contracts, providers may not undergo a change of control without the NHS’s prior authorisation. In light of this new information the NHS is now considering its next steps.
